Terms & Conditions For Firm IQ Services
These Terms & Conditions govern your use of Firm IQ’s website, services, payment plans, recurring billing, promotional offers, and any purchases made through us. Service-specific details such as pricing, deliverables, timelines, scope, cancellation terms, and payment obligations are defined in your signed Proposal, Statement of Work, Order Form, or Agreement.
01. Acceptance Of Terms
These Terms & Conditions (“Terms”) govern your use of Firm IQ’s website, services, payment options, promotional offers, and any purchases made through Firm IQ. Firm IQ is operated by C1 Capital, LLC DBA Firm IQ (“Firm IQ,” “we,” “us,” or “our”).
By accessing our website, submitting a form, scheduling a call, signing a Proposal or Agreement, making a payment, authorizing ACH billing, participating in a promotional offer, or otherwise engaging with Firm IQ, you agree to these Terms on behalf of yourself and/or the business you represent.
If you are accepting these Terms on behalf of a business, you represent that you have authority to bind that business to these Terms and any related Proposal, Statement of Work, Order Form, or Agreement.
02. Services And Scope
Firm IQ provides custom business-to-business consulting, marketing, local visibility, website, automation, analytics, strategy, Google Business Profile, citation, review, schema, content, AI visibility, and related digital services.
The specific services, deliverables, timelines, pricing, billing schedule, minimum commitment, cancellation rules, and any included assets are defined in your signed Proposal, Statement of Work, Order Form, or Agreement.
Unless expressly stated in writing, Firm IQ does not provide legal, tax, financial, accounting, investment, employment, insurance, or regulatory advice. Any recommendations related to business operations, marketing, websites, tracking, or visibility are provided for business strategy and implementation purposes only.
03. Payments, ACH And Auto-Billing
If your Proposal or Agreement includes recurring billing, installment payments, payment plans, monthly services, or ongoing services, you authorize Firm IQ and its payment processors to automatically charge your approved payment method according to the agreed billing schedule.
Firm IQ may accept payment by ACH bank transfer, debit card, credit card, wire transfer, or another approved payment method. Unless otherwise agreed in writing, ACH bank transfer may be the required payment method for recurring services, installment plans, and larger project payments.
ACH Authorization
By providing bank account information or signing an ACH authorization, you authorize Firm IQ and its payment processors to initiate ACH debit entries from the bank account you provide for amounts owed under your Proposal, Agreement, payment plan, invoice, or recurring billing schedule. This authorization applies to one-time payments, recurring payments, installment payments, past-due balances, approved change orders, and any other amounts you authorize in writing.
You agree to keep your payment information accurate and current. If an ACH payment is returned, rejected, reversed, or fails for insufficient funds, closed account, incorrect account information, stop payment, or any other reason, you remain responsible for the unpaid amount and any applicable bank, processor, collection, administrative, or returned-payment fees permitted by law or your Agreement.
Automatic Billing
Recurring billing will continue until properly canceled in accordance with your signed Agreement. Canceling a card, closing a bank account, revoking payment access, disputing a valid charge, or failing to update payment information does not automatically cancel your service agreement or remove your payment obligation.
04. Payment Plans And Installment Options
Firm IQ may offer 3-month, 6-month, or 12-month payment plans for eligible services, projects, builds, or packages. Payment plans are offered at Firm IQ’s discretion and may not be available for every client, service, promotion, or project.
Unless expressly stated otherwise in writing, a payment plan is a billing accommodation for a business service purchase and does not reduce the total amount owed. The client remains responsible for all scheduled payments under the signed Proposal, Agreement, Order Form, or payment authorization.
Payment plan terms may include:
- 3-month, 6-month, or 12-month installment schedules.
- Automatic ACH billing on agreed payment dates.
- Minimum commitment periods.
- Setup fees, deposits, or first payments due before work begins.
- Acceleration of unpaid balances if the client cancels early, defaults, initiates chargebacks, blocks ACH payments, refuses cooperation, or materially breaches the Agreement.
- Suspension of work, access, deliverables, launches, reporting, or account activity for missed or failed payments.
If any payment plan terms in your signed Agreement differ from these Terms, the signed Agreement controls.
05. Refund Policy
Firm IQ provides custom business-to-business consulting, marketing, visibility, automation, website, and digital services. Due to the custom nature of this work, all payments are non-refundable once a billing period begins, a project begins, strategy work begins, onboarding begins, access is granted, research begins, implementation begins, or a payment plan installment becomes due.
Refunds are not provided because a client changes direction, delays access, cancels early, hires another provider, dislikes a strategic recommendation, fails to provide required materials, fails to respond, changes their business model, changes their website, modifies their domain, removes access, blocks implementation, or does not achieve a desired result.
Limited Billing Error Exceptions
A refund or account credit may be issued only in limited situations, including:
- Duplicate charges.
- Incorrect billing amount charged by Firm IQ.
- Charges processed after a valid cancellation took effect under the signed Agreement.
- A clear and documented billing error made by Firm IQ.
Outside of these limited billing-error situations, no refunds will be issued. For full financial terms, refer to your signed Proposal or Agreement.
06. Cancellation Policy
You may cancel services only by following the cancellation terms outlined in your signed Proposal, Order Form, Statement of Work, or Agreement. Cancellation rules may include minimum commitments, required written notice, early termination fees, unpaid balance acceleration, project completion fees, or other conditions.

Cancellation is considered received when Firm IQ confirms receipt in writing. Cancellation is processed according to the Agreement terms and does not automatically create a refund, waive past-due amounts, cancel already-scheduled payment plan installments, or remove payment obligations already incurred.
No partial refunds or prorated refunds will be issued for unused time within a billing cycle unless required under the limited refund conditions stated above or expressly required by law.
07. Client Cooperation, Access And Timeliness
Firm IQ’s ability to perform services depends on the client providing timely access, accurate information, approvals, credentials, assets, content, business details, platform access, account permissions, and cooperation.
The client is responsible for:
- Providing accurate business information, service details, location details, offers, pricing guidance, brand assets, and contact information.
- Providing timely access to websites, hosting, DNS, Google Business Profiles, analytics, call tracking, CRMs, ad accounts, email systems, directories, and other required platforms.
- Reviewing and approving work in a timely manner.
- Notifying Firm IQ of changes to the business, website, domain, phone numbers, services, locations, offers, or third-party vendors.
- Maintaining ownership and control of required business accounts unless otherwise agreed.
Delays caused by missing access, late approvals, inaccurate information, client inaction, third-party delays, platform restrictions, or client-side technical issues may delay timelines and do not pause or eliminate payment obligations unless expressly agreed in writing.
08. Third-Party Provider Restrictions During Active Work
During an active Firm IQ engagement, the client agrees not to attach, authorize, or allow another SEO provider, website company, marketing agency, developer, automation provider, analytics provider, GBP manager, directory/citation company, AI visibility provider, or other third-party digital vendor to make changes to the same website, Google Business Profile, tracking systems, domain, hosting, DNS, analytics, citations, schema, content, or related visibility assets without Firm IQ’s prior written approval.
This restriction exists because overlapping vendors can create conflicting changes, broken tracking, duplicate work, technical errors, inconsistent messaging, damaged visibility, lost data, incorrect redirects, schema conflicts, broken forms, deleted pages, citation inconsistencies, and unclear accountability.
If the client allows another provider or internal team member to modify assets Firm IQ is working on without written coordination, Firm IQ is not responsible for resulting delays, performance changes, ranking drops, lost data, broken functionality, tracking errors, missed leads, visibility loss, additional costs, or cleanup work.
Firm IQ may pause work, revise timelines, require a change order, or terminate services if unauthorized third-party changes materially interfere with the engagement.
09. No Guarantees Of Results
Firm IQ does not guarantee specific business, marketing, search, visibility, AI search, map pack, ranking, traffic, lead, conversion, revenue, or sales outcomes.
Results depend on many factors outside Firm IQ’s control, including:
- Market competition.
- Search engine algorithms.
- AI platform behavior.
- Google Business Profile policies and enforcement.
- Client budget, offer, reputation, pricing, responsiveness, operations, and sales process.
- Website history, domain history, backlinks, technical condition, and prior SEO work.
- Competitor activity.
- Review volume and review quality.
- Client cooperation and implementation speed.
- Platform outages, third-party tools, or data inaccuracies.
Any examples, case studies, testimonials, ranking movement, traffic changes, call increases, form submissions, AI visibility improvements, or client-reported results are examples only and do not guarantee that you will achieve the same or similar results.
10. Client-Caused Issues, Existing Assets And External Changes
Firm IQ is not responsible for problems caused by client actions, omissions, prior vendors, platform history, technical debt, domain history, old websites, previous URLs, unapproved changes, or third-party interference.
Examples include, but are not limited to:
- Failing to turn off, redirect, consolidate, or properly manage an old domain, old website, duplicate URL, staging site, or previous landing page.
- Changing DNS, hosting, nameservers, URL structures, pages, plugins, themes, forms, tracking scripts, redirects, schema, or content without notifying Firm IQ.
- Deleting pages, changing URLs, removing tracking, changing phone numbers, or modifying forms during an active engagement.
- Providing incorrect business information, service areas, contact details, credentials, or platform access.
- Allowing another vendor to modify the website, GBP, analytics, tracking, citations, domain, or hosting during the engagement.
- Failing to respond to leads, answer calls, follow up with prospects, manage reviews, honor offers, or operate the business in a way that supports conversion.
If cleanup, repair, restoration, rework, redirect mapping, troubleshooting, or additional implementation is required due to client-caused issues or third-party changes, Firm IQ may charge additional fees or require a new scope of work.
11. Atlas Giveaway And Promotional Offers
Firm IQ may occasionally offer promotional opportunities, including an “Atlas Giveaway,” discounted build, bonus service, complimentary analysis, free implementation opportunity, or similar promotional offer.
Unless expressly stated otherwise in official written rules, Firm IQ promotional offers are not sweepstakes, contests, lotteries, random drawings, or games of chance. Selection is not random. Firm IQ may choose participants at its sole discretion based on business fit, market opportunity, implementation capacity, operational readiness, service alignment, strategic value, timing, availability, and other business criteria determined by Firm IQ.
Submitting an application, form, request, or nomination does not guarantee selection, approval, service, acceptance, free work, discounted work, or any specific outcome.
Promotional offers may be subject to additional terms, including:
- Business eligibility requirements.
- Required onboarding or discovery call.
- Required signed Agreement before work begins.
- Required access to website, GBP, analytics, tracking, hosting, DNS, CRM, or other platforms.
- Client responsibility for third-party fees, hosting, software, plugins, subscriptions, advertising spend, call tracking, directory costs, or platform fees.
- Limited scope, limited timeline, or limited availability.
- Right for Firm IQ to decline, modify, pause, end, or withdraw the offer at any time.
- No cash value, no transferability, and no substitution unless approved by Firm IQ in writing.
Firm IQ may use selected promotional projects as case studies, examples, testimonials, or marketing materials only with appropriate permission, client approval, or as otherwise allowed by the signed Agreement.
12. SMS, Email And Communication Consent
By providing your contact information, submitting a form, scheduling a call, requesting an analysis, applying for a promotion, purchasing services, or otherwise engaging with Firm IQ, you consent to receive communications from Firm IQ. Communications may include phone calls, emails, SMS/text messages, appointment reminders, project updates, billing notices, onboarding messages, service-related notices, promotional messages, and follow-up communications.
Message frequency may vary. Standard message and data rates may apply. Consent to receive marketing text messages is not required as a condition of purchase.
You may opt out of SMS/text communications at any time by replying:
- STOP to unsubscribe.
- HELP for assistance.

13. Privacy Policy
Your use of Firm IQ’s website and services is also governed by our Privacy Policy, which explains how we collect, use, store, and protect information.
By using our website, submitting information, authorizing payments, participating in promotional offers, or engaging Firm IQ for services, you agree to the practices described in our Privacy Policy.

14. Intellectual Property And Work Product
Unless otherwise stated in a signed Agreement, Firm IQ retains ownership of its pre-existing tools, frameworks, systems, templates, processes, methodologies, strategy documents, internal workflows, naming conventions, prompts, automations, code libraries, proprietary methods, and know-how.
Upon full payment of all amounts owed, the client receives the rights described in the signed Agreement for final deliverables created specifically for the client. Drafts, rejected concepts, internal notes, research materials, strategy frameworks, and Firm IQ’s proprietary methods are not transferred unless expressly stated in writing.
Firm IQ may display publicly available work, anonymized results, non-confidential examples, and approved case studies for marketing, portfolio, educational, and sales purposes unless prohibited by a signed confidentiality agreement.
15. Limitation Of Liability
To the fullest extent permitted by law, Firm IQ’s total liability for any claim related to the website, services, payments, promotional offers, deliverables, or these Terms is limited to the amount paid by the client to Firm IQ for services during the most recent billing period.
Firm IQ shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost leads, lost rankings, lost traffic, lost business opportunities, business interruption, data loss, reputational harm, platform penalties, or damages caused by third-party vendors, client actions, platform changes, or external systems.
Firm IQ is not liable for the acts, omissions, outages, policies, delays, suspensions, errors, ranking changes, data inaccuracies, or decisions of third-party platforms, including but not limited to Google, Meta, Stripe, banks, hosting providers, domain registrars, analytics platforms, CRM systems, call tracking providers, AI platforms, directories, plugins, themes, or software vendors.
16. Business Use, Governing Law And Disputes
Firm IQ’s services are intended for business use only and not for personal, consumer, family, or household purposes.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any disputes shall be handled in the state or federal courts located in Arizona unless the signed Agreement requires a different dispute resolution process.
Before filing any formal claim, the parties agree to make a good-faith effort to resolve disputes informally by written notice and reasonable discussion.
17. Priority Of Terms
Your signed Proposal, Statement of Work, Order Form, or Agreement always controls over these Terms for service-specific details, including pricing, scope of work, deliverables, payment terms, payment plan terms, timelines, cancellation rules, minimum commitments, ownership rights, confidentiality, and any special conditions.
If any conflict exists between these Terms and a signed Agreement, the signed Agreement controls for that specific conflict.
If any part of these Terms is found unenforceable, the remaining sections will remain in effect to the fullest extent permitted by law.
