1. Qualified Introductions
A referral must be a genuine warm introduction to a business decision-maker that results in a substantive sales conversation, scheduled meeting, or attendance at an approved Firm IQ or Nexation.ai educational event. Merely providing a name, business card, contact list, social-media tag, or casual mention does not create referral credit.
2. Referral Attribution
Referral credit is assigned when the introduction is documented and accepted by Firm IQ or Nexation.ai. If a prospect is already in an active sales process or meaningful sales discussions were underway before the introduction, Firm IQ / Nexation.ai may determine that the referral is not eligible. Attribution decisions are final and will be made in good faith.
3. Commission
Approved partners are eligible to receive 10% of qualifying service revenue actually collected from an eligible referred client. Commissions apply only to amounts received and retained by Firm IQ or Nexation.ai and do not apply to unpaid invoices, refunds, chargebacks, sales taxes, advertising spend, pass-through costs, reimbursed expenses, or third-party software or services billed at cost.
4. Duration
Unless otherwise stated in writing, eligible commissions continue while the referred client remains actively engaged and pays for qualifying services. If the client later purchases additional qualifying services, those amounts may also be commissionable so long as the referral relationship remains active and in good standing.
5. Partner’s Own Employer
Partners may not receive referral commissions on services purchased by their own current employer. Partners are responsible for complying with their employer’s policies concerning outside business activity, gifts, referral fees, conflicts of interest, confidentiality, and related matters.
6. Independent Relationship
Participation in Trusted Intros does not create an employment relationship, agency, joint venture, franchise, partnership, or authority to bind Firm IQ or Nexation.ai. Partners may describe the general types of problems we solve but may not quote pricing, make guarantees, promise outcomes, negotiate terms, or represent themselves as authorized sales representatives unless separately authorized in writing.
7. Payments & Taxes
Partners are responsible for all taxes associated with referral payments. A completed Form W-9 and other payment information may be required before payment. Payments may be reported to tax authorities when required by law. Commission timing and payment method may be adjusted for administrative, compliance, or payment-processing reasons.
8. No Guarantee of Engagement
Firm IQ and Nexation.ai retain sole discretion over whether to pursue, accept, price, scope, or continue any prospective or existing client engagement. A referral does not guarantee a sale, commission, or ongoing client relationship.
9. Program Changes or Termination
Firm IQ and Nexation.ai may modify, suspend, or terminate the Trusted Intros program or a partner’s participation upon notice. Earned commissions on qualifying revenue collected before the effective date of termination will be handled according to the terms in effect at that time, unless termination is related to fraud, misconduct, misrepresentation, or other material violation.
10. Professional Conduct
Partners must make referrals honestly and professionally, respect confidentiality and privacy, avoid misleading claims, and comply with applicable laws and regulations. Spam, purchased contact lists, deceptive outreach, unauthorized use of branding, or misrepresentation of the program may result in immediate termination.
Important: These terms are intended as practical business terms for the Trusted Intros program and are not a substitute for legal or tax advice. Firm IQ / Nexation.ai should have final program language reviewed by qualified legal and tax professionals before launch.
